01 Acceptance of Terms
By accessing our website at smartsolvebooks.com or engaging SmartSolve Bookkeeping Solutions LLC ("SmartSolve," "we," "us," or "our") for bookkeeping services, you ("Client," "you," or "your") agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and clients.
02 Services
SmartSolve provides professional bookkeeping services including but not limited to:
- Monthly bank and credit card reconciliation
- Expense categorization and transaction recording
- Financial statement preparation
- Accounts receivable and payable tracking
- QuickBooks setup, maintenance, and training
- Bookkeeping cleanup and catch-up services
- CPA-ready financial report preparation
Important: SmartSolve is a bookkeeping service. We are not a licensed CPA firm, accounting firm, law firm, or financial advisory firm. Nothing in our services or communications constitutes legal, tax, accounting, or financial advice. For tax filing, legal matters, or strategic financial planning, please consult a licensed professional.
03 Client Engagement
Services are initiated upon execution of a separate Service Agreement or Engagement Letter between SmartSolve and the Client. That agreement will specify the scope of services, fees, deliverables, and timelines.
These Terms of Service are incorporated by reference into all Service Agreements. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall govern.
Use of our website does not create a client relationship. A client relationship is established only upon execution of a signed Service Agreement and receipt of initial payment where applicable.
04 Client Responsibilities
To enable SmartSolve to provide accurate and timely services, you agree to:
- Provide complete, accurate, and timely access to all financial records, bank statements, and documentation requested
- Notify SmartSolve promptly of any changes to your business structure, accounts, or financial circumstances
- Review and approve delivered financial reports within a reasonable timeframe
- Maintain appropriate QuickBooks access and permissions as agreed
- Respond to requests for clarification or missing information in a timely manner
- Not provide false, misleading, or fraudulent financial information
SmartSolve is not responsible for errors, omissions, or delays in deliverables caused by the Client's failure to provide accurate or timely information.
05 Fees & Payment
Fees for services are as set forth in the applicable Service Agreement. The following general terms apply:
- Monthly services: Billed monthly in advance unless otherwise agreed in writing
- Cleanup & catch-up services: May require a deposit prior to commencement
- Late payments: Invoices unpaid after 30 days may incur a late fee of 1.5% per month on the outstanding balance
- Disputed invoices: Must be raised in writing within 10 business days of receipt
- Cancellation: Services may be cancelled with 30 days written notice unless otherwise specified in your Service Agreement
All fees are in U.S. dollars. SmartSolve reserves the right to suspend services for accounts with overdue balances of 45 days or more.
06 Confidentiality
SmartSolve treats all client financial information as strictly confidential. We will not disclose your financial records, business information, or personal data to any third party except:
- As authorized by you in writing (e.g., sharing reports with your CPA)
- As required by law, regulation, or court order
- To service providers who assist in delivering our services, subject to confidentiality obligations
This confidentiality obligation survives the termination of our engagement. See our Privacy Policy for full details on how we handle your information.
07 Intellectual Property
All content on this website — including text, graphics, logos, and design — is the property of SmartSolve Bookkeeping Solutions LLC and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our express written permission.
Financial reports, statements, and other deliverables prepared specifically for you as part of our services are your property upon full payment of applicable fees.
08 Disclaimer of Warranties
Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. SmartSolve does not warrant that:
- The website will be uninterrupted, error-free, or free of viruses
- The results of using our services will meet every specific financial outcome
- All information on the website is complete, accurate, or current
SmartSolve makes no representation that bookkeeping services will prevent tax liability, audits, or financial losses. We provide accurate recordkeeping based on information provided to us — outcomes depend on factors beyond our control.
09 Limitation of Liability
To the fullest extent permitted by law, SmartSolve Bookkeeping Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services, including but not limited to loss of profits, loss of data, or business interruption.
Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by you to SmartSolve in the three months immediately preceding the event giving rise to the claim.
SmartSolve is not liable for errors resulting from inaccurate, incomplete, or untimely information provided by the Client.
10 Termination
Either party may terminate the service engagement with 30 days written notice, unless otherwise specified in the applicable Service Agreement.
SmartSolve reserves the right to terminate services immediately and without notice if:
- The Client provides false or fraudulent financial information
- The Client engages in abusive, threatening, or harassing behavior
- Payment remains outstanding for 45 days or more
- Continued engagement would require SmartSolve to violate applicable law
Upon termination, SmartSolve will deliver all completed work product to the Client and provide a transition period of up to 14 days to facilitate handoff to a new provider, subject to payment of all outstanding fees.
11 Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the state in which SmartSolve Bookkeeping Solutions LLC is registered, without regard to conflict of law provisions.
Any disputes arising under these terms that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, or resolved in the applicable state or federal courts.
12 Changes to These Terms
We reserve the right to update these Terms of Service at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
For active clients, material changes to terms affecting your service engagement will be communicated directly by email with at least 30 days notice.
